On 25 September 2024, the Board of Directors approved the amendment of Article II, Sections 3 and 4; Article III (Board of Directors), Sections 2, 8 and 14; Article III (Committees) paragraphs A, C, D & E; Article IV, Sections 1 and 5, of the Amended By-Laws of Emperador Inc., which were subsequently ratified and approved by at least a majority of the stockholders of the outstanding capital stock of the Corporation during the Special Stockholders Meeting held on 14 November 2024.

The disclosure is to update the public on the approval of the Amended By-Laws by the Securities and Exchange Commission (SEC).
