EXERCISE OF UP TO 1,520,978,744 WARRANTS eW151118 ("WARRANTS") TO SUBSCRIBE FOR UP TO 1,520,978,744 NEW ORDINARY SHARES AT AN EXERCISE PRICE OF S$0.10 PER NEW ORDINARY SHARE; AND LAPSE OF UNEXERCISED WARRANTS

In this announcement, the term "Warrants" or "Warrants eW151118" refers to all warrants eW151118 issued by Sinarmas Land Limited (the "Company"), the terms of which are constituted in the deed poll executed by the Company on 11 November 2010.

Further to the Company's announcements on the Notice of Exercise Date of Warrants of 19 August 2015, 15 October 2015, 4 November 2015 and 11 November 2015, the Board of Directors of the Company wishes to announce that a total of 1,507,359,759 Warrants, each Warrant conferring upon the holder thereof the right to subscribe for one (1) new ordinary share in the capital of the Company ("New Share") at an exercise price of S$0.10 for each New Share, were exercised on 18 November 2015, being the exercise date (the "Exercise Date") of the Warrants.

The remaining 13,618,985 Warrants which have not been exercised on the Exercise Date, have lapsed.

Pursuant to the abovementioned exercise of Warrants, 1,507,359,759 New Shares are expected to be allotted and issued on 23 November 2015, such New Shares will, upon allotment and issue, rank pari passu in all respect with the then existing issued ordinary shares of the Company.

Warrantholders who have elected in the Exercise Notice to have the delivery of the New Shares to be effected by crediting such New Shares to their respective securities account(s) maintained with The Central Depository (Pte) Limited ("CDP"), will have the relevant number of New Shares credited to their respective securities account(s) with CDP on or about 24 November 2015.

Warrantholders who have elected to receive physical share certificates will receive, via ordinary post, share certificate(s) representing the number of New Shares validly subscribed by them within seven (7) market days from the Exercise Date.

The New Shares are expected to be listed and quoted on the Singapore Exchange Securities Trading Limited with effect from 9.00 a.m. on 25 November 2015.
