The Board of Directors of GEMS TV Holdings Limited (the "Company") refers to the announcements on directed delisting released to the Singapore Exchange Securities Trading Limited on 3 March 2014, 8 April 2014 and 14 April 2014.

The Board of Directors of the Company wishes to announce the dissolution of the Remuneration Committee and Nominating Committee with immediate effect. The responsibilities of the members of the said Committees will be transferred back to the Board of Directors.
