IENOVA ANNOUNCES THE START OF THE AUTHORIZATION PROCESS IN RELATION TO A POTENTIAL ACQUISITION OF THE PARTICIPATION OF SAAVI ENERGIA IN ENERG A SIERRA JUAREZ

Mexico City, January 8, 2021 - Infraestructura Energetica Nova, S.A.B. de C.V. (IEnova) informs that today, Energia Sierra Juarez U.S., LLC and y Energia Sierra Juarez U.S., Transmission, LLC, subsidiaries of Energia Sierra Juarez, S. de R.L. de C.V. (Energia Sierra Juarez), filed an application with the Federal Energy Regulatory Commission of the United States of America (FERC) in relation to the potential acquisition by IEnova, through its subsidiary Controladora Sierra Juarez, S. de RL de C.V., of the ownership that Saavi Energia, through its affiliates Cometa Energia, S.A. de C.V., and Saavi Energia (UK) Ltd (Saavi), holds in Energia Sierra Juarez.

The effects of the purchase and sale agreement of this potential acquisition by IEnova are subject to the fulfillment of various conditions precedent. In the event that the purchase and sale agreement takes effect, the closing of said acquisition will be subject to the fulfillment of customary closing conditions for this type of operation, including obtaining authorization from the FERC and the Mexican Antitrust Commission.

Energia Sierra Juarez, a 50-50 joint venture between IEnova and Saavi Energia, is a wind generation complex located in the Municipality of Tecate, Baja California, Mexico. The first phase is an operating wind project that has an installed capacity of 155 megawatts. The second phase is under development and will have an installed capacity of 108 megawatts.
