We refer to the resolution adopted by the Board of Directors of Bangkok Dusit Medical Services Public Company Limited (the Company ), held on 27August 2014 for Bangkok Phuket International Hospital Company Limited, a subsidiary in which the Company holds approximately 99.99 per cent of its total issued shares, to acquire and accept the transfer of the entire business of Phuket International Hospital Company Limited. In this connection, we are pleased to inform you that on 1 October 2014, Phuket International Hospital Company Limited transferred its entire business to Bangkok Phuket International Hospital Company Limited and Bangkok Phuket International Hospital Company Limited made a full payment to Phuket International Hospital Company Limited, comprising cash consideration of Baht 3,559,339,918 and an assumption of all liabilities in the amount not exceeding Baht 466,000,000. The total consideration mentioned above has been adjusted in accordance with the terms of the Entire Business Transfer Agreement.
