This Public Ownership Report (POR) is hereby submitted in connection with the change in BPI's total outstanding shares from 4,539,018,015 to 4,945,197,291, as a result of the disposal of the 406,179,276 common treasury shares of the Bank of the Philippine Islands ( Property Dividend Shares) via Property Dividend that was carried out on 16 June 2023, following BPI's receipt of the Certificate of Filing the Notice of Property Dividend Declaration issued by the Securities and Exchange Commission last 13 June 2023.

*The Property Dividend Shares were recorded in the name of PCD Nominee Corp. for the account of the Stockholders (Domestic and Foreign) in the books of BPI on June 16, 2023, the Payment Date. On the same Payment Date, portion of the Property Dividend Shares, amounting to 18,262,683, shares, which corresponds to the fractional shares and shares withheld for property dividend tax purposes, were subsequently transferred to BPI Asset Management and Trust Corporation in accordance with the Property Dividend Distribution Guidelines.

Pending, the distribution of the Property Dividend shares to the Stockholders and determination of the final actual number of shares allocated to BPI's major Stockholders, Directors and Officers, the said Property Dividend shares were classified as non-public.
