The Bangko Sentral ng Pilipinas (BSP) approved on 14 March 2023 the amendments to the Amended By-Laws of Bank of the Philippine Islands (BPI).

At the Annual Stockholders Meeting held last 28 April 2022, stockholders representing at least a majority of the outstanding shares approved/ratified the amendments to Articles I, IV, V, VI, VII, VII-B, XI, XII, XIV of the Bank s Amended By-Laws.
The amendments to the By-Laws are seen to improve the overall corporate governance framework of the bank.

This disclosure is amended to reflect the approval of the Bangko Sentral ng Pilipinas on the amendments to the By-Laws. The Bank received the notice from BSP on 15 March 2023. Attached is the BSP s Certificate of Authority.
