The Board of Directors of the Company (the "Board"), having considered the recommendation of the Nomination Committee and reviewed Mr. Ng's suitability, professional qualifications and working experiences (as set out below) is of the view Mr. Ng possesses the necessary business and industry experience that can complement the existing Board. The Board is also of the view that Mr. Ng has the attributes to assume the responsibility of an Independent Director and is in a position to contribute significantly to the Company.
Accordingly, the Board approves the appointment of Mr. Ng as an Independent Director of the Company.
