NOTICE IS HEREBY GIVEN that Green River Holding Co. Ltd.(the Company) declared a cash dividend NT$ 146,920,600, or NT$ 2.00409219 per common share, payable to shareholder of record on July 28, 2019.

As a result of the cash dividend distribution, the Company informs the Bondholders of that (i) the Conversion Price prior to the adjustment was NT$205.4 per share, (ii) the adjustment pursuant to Condition 5(C)(i) and 5(C)(vii) of the Indenture, shall be NT$201.1 per share, which shall be effective on July 28, 2019.
