1. The "Capital Amount-Old" refers to an issued and paid-up share capital of S$6,835,420.03 comprising 683,542,003 Shares of a nominal or par value of S$0.01 per Share.

2. Pursuant to the Proposed Increase in Authorised Share Capital and the Proposed Share Consolidation, the "Capital Amount-New" refers to an issued and paid-up share capital of S$50,732,562.80 comprising 1,268,314,070 Consolidated Shares of a nominal or par value of S$0.04 per Consolidated Share is calculated based on the assumption that (i) 26,000,000 New Placement Shares are fully allotted and issued at the Placement Price of S$0.20 for each New Placement Share; and (ii) the Proposed Transactions have been completed.

3. Proposed Compliance Placement of up to 26,000,000 New Placement Shares and up to 38,750,000 Vendor Shares.

4. The "No. of Existing Outstanding Shares" refers to the existing issued and paid-up Shares in the capital of the Company. Following the completion of the Proposed Share Consolidation but prior to the completion of the Proposed Compliance Placement, the number of existing outstanding Consolidated Shares will be 170,885,501.

5. The "New Shares Issued" refers to up to 26,000,000 New Placement Shares to be allotted and issued by the Company pursuant to the Proposed Compliance Placement.
