Fully and unconditionally guaranteed by Dacomsa, S.A. de C.V., Friccion y Tecnologia, S.A. de C.V., Kuo Motor, S.A. de C.V., Resirene, S.A. de C.V., Comercializadora Porcicola Mexicana, S.A. de C.V., Grupo Porcicola Mexicano, S.A. de C.V., Transmisiones y Equipos Mecanicos, S.A. de C.V., Aeropycsa, S.A. de C.V., Corporativo Arcos Kuo, S.A. de C.V., Desc Corporativo, S.A. de C.V., Inmobiliaria Corcel, S.A. de C.V. and Tremec Corporation (the Guarantors )

Reference is made to the Notes issued by the Issuer, and fully and unconditionally guaranteed by the Guarantors, and the listing of the Notes on the Singapore Exchange Securities Trading Limited (SGX ).

As of July 7, 2017, there were US$450,000,000 in aggregate principal amount of Notes outstanding. On January 22, 2024, the Issuer completed the cancellation of US $22,980,000 in aggregate principal amount of Notes repurchased (the Repurchased Notes ), representing approximately 5.11% of the aggregate principal amount of Notes outstanding. After cancellation of the Repurchased Notes, US $427,020,000 in aggregate principal amount of Notes will remain outstanding.
Pursuant to Rule 324 of the SGX Listing Manual, the Issuer will make further announcements for every subsequent 5% interval of initial aggregate principal amount of Notes redeemed and/or cancelled in accordance with their terms and conditions.
