Resignation of Ms Goh Yen Peng as Group Financial Controller.

This announcement has been prepared by Memiontec Holdings Ltd. (the "Company") and its contents have been reviewed by the Company's sponsor, ZICO Capital Pte. Ltd. Detailed Reason (s) for cessation
Ms Goh Yen Peng ("Ms Goh") had, on 16 August 2021, tendered her resignation as the Group Financial Controller of the Company ("GFC") to pursue other career opportunities ("Resignation").

Ms Goh is currently serving her three months' notice pursuant to her service contract with the Company. Ms Goh has requested for early release. The board of directors of the Company, having considered that the Company has identified and appointed a new chief financial officer of the Company, had on mutual agreement with Ms Goh, agreed that her last day of employment with the Company will be 2 September 2021. For the avoidance of doubt, Ms Goh will remain as the GFC to ensure smooth functioning of the operations of the finance team of the Group, until the effective date of her Resignation (i.e. 3 September 2021).

After having interviewed Ms Goh and to the best of its knowledge, the Company's Sponsor, ZICO Capital Pte. Ltd., is satisfied that, save as disclosed in this announcement, there are no other material reasons for the Resignation.

In addition, there are no concerns that the Resignation is due to any financial reporting concerns or matters and there are no disagreements between Ms Goh and the Board with regards to practices that would have an impact on the Company's and Group's financial reporting.

The Company has appointed a new chief financial officer of the Company and the announcement will be released by the Company separately. Please refer to the aforesaid announcement for more information on the appointment of chief financial officer of the Company.
