The Issuer (together with its subsidiaries, the "F&N Group") refers to its announcement dated 26 September 2025 on the entry by FNHB into a conditional Heads of Agreement to dispose its entire 50% equity interest in Vacaron (the "Previous Announcement"). Capitalised terms used in this announcement shall, unless defined herein, have the same meanings ascribed to them in the Previous Announcement.

Further to the Previous Announcement, the Issuer attaches for information, an announcement released on Bursa Malaysia on 21 August 2026 by FNHB on its entry into a Sale and Purchase of Shares Agreement with Tan & Tan Developments Berhad in relation to the Proposed Transaction.

The Proposed Transaction is not expected to have a material effect on the net tangible assets or earnings per share of the F&N Group for the financial year ending 30 September 2026.

None of the Directors or controlling shareholders of the Issuer has any interest, direct or indirect, in the Proposed Transaction other than through their shareholdings in the Issuer.
