IENOVA ANNOUNCES THE CLOSING OF THE ACQUISITION OF THE REMAINING 50 PERCENT IN ENERGiA SIERRA JUAREZ

Mexico City, March 19, 2021 Infraestructura Energetica Nova, S.A.B. de C.V., (IEnova), in accordance with its February 16, 2021 announcement and after receiving the corresponding approvals, informs that today it closed the acquisition of 50 percent in Energ a Sierra Juarez, S. de R.L. de C.V. (Energ a Sierra Juarez, ESJ or the Company) held by Saavi Energ a through its affiliates Cometa Energia, S.A. de C.V., and Saavi Energia (UK) Ltd (Saavi). IEnova s ownership in ESJ will increase from 50 percent to 100 percent derived from this transaction.

The purchase price of Saavi s equity is approximately USD$80 million, which is net of the corresponding amount of the Company s debt.

Energ a Sierra Juarez is a cross-border wind generation complex located in the Municipality of Tecate, Baja California, Mexico. The first phase is an operational wind project with an installed capacity of 155 megawatts. The second phase is under construction and will have an installed capacity of 108 megawatts. ESJ also owns a cross border private transmission line.
