The Wharf (Holdings) Limited ("Wharf") proposed spin-off and separate listing of Wharf Real Estate Investment Company Limited ("Wharf REIC") on the main board of the Stock Exchange of Hong Kong Limited ("HKEx").

Wharf REIC submitted a listing application form (Form A1) to the HKEx to apply for the listing by way of introduction of, and permission to deal in, the Wharf REIC Shares on the Main Board of HKEx. The listing of the Wharf REIC shares pursuant to the proposed spin-off is subject to, among other things, listing approval from HKEx and the final decisions of the boards of Wharf and Wharf REIC. There is no assurance that the proposed spin-off will take place or as to when it may take place.
