(the Issuer ) has offered to pay, or procure that there is paid, certain fees, as an incentive to the holders of the Bonds ( Bondholders ) to consent to the amendment (each a Consent ) of certain terms and conditions of the Bonds and the applicable trust deed (the Consent Solicitation), in order to replace Protelindo Finance B.V. as the issuer of the Bonds with PT Profesional Telekomunikasi Indonesia. The terms and conditions of the Consent Solicitation are set out in a consent solicitation memorandum dated 30 June 2016
