The Lender, Mr Tan Boon Seng, is a non-independent non-executive Director of the Company. As at the date of the Loan Agreement, the Lender has a direct and deemed interest in approximately 0.68% and 17.50% of the share capital of the Company respectively and is, therefore, a controlling shareholder of the Company. Accordingly, the Lender is deemed to be an interested person for the purposes of Chapter 9 of Listing Manual Section B: Rules of Catalist of the Singapore Exchange Securities Trading Limited.
