The Wharf (Holdings) Limited (the "Company") announces that the substantial shareholder of the Company, namely Wheelock and Company Limited ("Wheelock"), proposes to distribute to shareholders of Wheelock of one share in the Company and one share in Wharf Real Estate Investment Company Limited (a fellow subsidiary of the Company) in respect of each share in the issued capital of Wheelock by way of a distribution in-specie ("Distribution"). The Distribution will only become effective upon all Distribution Conditions being satisfied. There is no assurance that the Distribution will take place or as to when it will take place.
