In compliance with SEC Memorandum Circular No. 6, series of 2009 and No. 19, Series of 2016, Bank of the Philippine Islands hereby submits its Revised Manual on Corporate Governance to include the following amendments as approved by the Board during its 21 September 2022 meeting:

The following changes were incorporated into the Manual:
a. Included as an annex an abbreviated version of the new BPI Policy on Directors and Officers Interlocking Positions
b. Alignment of relevant provisions with the Amended By-Laws of BPI
c. Updated section on the Board Diversity Policy with a statement on measurable targets
d. Included the Bank s policy statement on Group Oversight
e. Included enhanced sections on Gifts Policy and Anti-Bribery and Anti-Corruption Policy
f. Included as an annex the new optional Whistleblower Report Form
