RH International Corporation (Singapore) Pte. Ltd. ("the Company") announced the Tender Offer on 12 March 2018 and it was made on the terms and subject to the conditions contained in the Tender Offer Memorandum dated 12 March 2018 (the Tender Offer Memorandum ). The Tender Offer expired at 4:00 p.m. (London time) (the Expiration Time ) on 19 March 2018 (the 'Expiration' Date ).
As at the Expiration Time on the Expiration Date, U.S.$193,000,000 in aggregate principal amount of the Notes have been validly tendered pursuant to the Tender Offer. Subject to the New Financing Condition being waived by the Company (in its sole and absolute discretion) or satisfied, the Company has decided to accept all Notes validly tendered pursuant to the Tender Offer in full with no scaling.
The Company will pay a cash Purchase Price equal to 101.30 per cent. of the principal amount of the Notes validly tendered and accepted by it for purchase pursuant to the Tender Offer. The Company will also pay Accrued Interest in respect of such Notes.
