Mexico City, Mexico February 7, 2025 Total Play Telecomunicaciones, S.A.P.I. de C.V. ( Total Play, we, us or our ) today announced the expiration and final results of its previously announced (x) offer to exchange (the Exchange Offer ) any and all of its outstanding 6.375% Senior Notes due 2028 (the Existing Notes ) and a cash payment by holders of Existing Notes of U.S.$450 for each U.S.$1,000 of Existing Notes (the New Money Deposits ) tendered, for newly issued 11.125% Senior Secured Notes due 2032 (the New Notes ) and (y) solicitation of consents to the Proposed Amendments from the holders of Existing Notes (the Consent Solicitation ), on the terms and subject to the conditions described in the exchange offer and consent solicitation memorandum, dated January 7, 2025 (the Exchange Offer and Consent Solicitation Memorandum ) and the related Eligibility Letter (together with the Exchange Offer and Consent Solicitation Memorandum, the Offer Documents ). Capitalized terms not defined herein shall have the meaning ascribed to them in the Offer Documents.
