NOTICE IS HEREBY GIVEN THAT pursuant to Section 12.02 of the indenture (the Indenture ) dated as of January 14, 2021 by and between WIN Semiconductors Corp. (the Issuer ) and The Bank of New York Mellon, London Branch, as Trustee (the Trustee ), relating to the Issuer s Currency-Linked Zero Coupon Convertible Bonds due 2026 (the Bonds ), and pursuant to the terms of the Bonds, the Issuer has elected to redeem all of the outstanding Bonds. Capitalized terms used but not otherwise defined herein shall have the meaning assigned thereto in the Indenture. The Bonds will be redeemed on February 23, 2024 (the Redemption Date ), at a redemption price (the Redemption Price ) equal to the Settlement Equivalent of the Early Redemption Amount on the Redemption Date. The exact amount of the Redemption Price in U.S. Dollars will be provided on February 15, 2024 after the Prevailing Rate, if the condition to the redemption has been satisfied, the Redemption Price will become due and payable and no interest on the Bonds will accrue on and after the Redemption Date unless the Issuer defaults in the payment of the Redemption Price. After the redemption, none of the Bonds will remain outstanding.
Pursuant to Section 1.01, the Conversion Right of the Bonds will expire on February 15, 2024, five business days prior to the Redemption Date.
The Bonds must be surrendered to the Trustee, as the Paying Agent, at any of the following addresses to collect the Redemption Price:
