Description (Please provide a detailed description of the event in the box below): The Board of Directors of IOI Corporation Berhad ("IOIC") wishes to announce that the Company had on 12 September 2017 entered into a definitive share purchase agreement ("SPA") with Koninklijke Bunge B.V. ("KBBV"), a wholly-owned subsidiary of Bunge Limited, for the disposal of 70.0% of IOIC's equity interest held in Loders Croklaan Group B.V. (after completion of the Internal Restructuring (as defined herein)), a wholly-owned subsidiary of IOIC, to KBBV for a total cash consideration of USD595.00 million plus EUR297.00 million, subject to the Adjustments (as defined herein) in accordance with the terms and conditions of the SPA ("Proposed Disposal").
