As the audited financial statements of the VCC and the Sub-Fund had been made available to all Members of the VCC within 5 months after the end of the First Financial Period of the VCC, hence, the VCC will be relying on Section 78(1)(b) of the Variable Capital Companies Act 2018 (the "VCC Act") read with Section 105 of the same, and shall not be holding its AGM for the First Financial Period.

In this regard, matters which are required to be dealt with at the AGM of the VCC for the First Financial Period will be presented to you via shareholders' resolution by written means under section 184A of the Companies Act, Chapter 50 (the "Companies Act") as applied by Section 80(3) of the VCC Act in accordance with the requirements under the VCC Act.
