Acelen Announces Termination of its Tender Offer

and Proposed Refinancing Transactions



Sao Paulo, Brazil, October 28, 2026.



MC Brazil Downstream Trading S. r.l. MCBRAC , a wholly-owned subsidiary of Refinaria de Mataripe S.A. (Acelen), announces that it has decided not to proceed at this time with its proposed offering of new 7-year senior secured notes, in light of current market conditions.

Despite strong investor participation in the tender offer, with 94.54% of the outstanding principal amount of the notes tendered, the Company believes that current market conditions, for the new 7-year senior secured notes, are not conducive to proceeding with the proposed refinancing at this time.

Accordingly, the Issuer has terminated the concurrent tender offer for any and all of its outstanding 7.250% Senior Secured Notes due 2031 and the related consent solicitation. The outstanding 7.250% Senior Secured Notes due 2031 remain in effect under their existing terms.
