Hainan Airlines Holding Co., Ltd. ( Hainan Airlines ), of which the Company is a direct, wholly-owned subsidiary, has entered into restructuring framework agreements with HNA Group Co., Ltd. ( HNA Group Co. ) and HNA Aviation Group Co., Ltd. ( HNA Aviation ), respectively. Under these agreements, Hainan Airlines will purchase all or a portion of the shareholding of these two entities and their affiliates in Guilin Airlines Co., Ltd., West Airlines Co., Ltd., HNA Hotel Holding Group Co., Ltd. and an offshore hotel entity, and all or a portion of HNA Aviation s shareholding in Hainan Sky Plumage Pilot Training Co., Ltd., HNA Technic Co., Ltd. and SR Technics Holdco I GmbH. Trading of Hainan Airlines' equity shares on the Shanghai Stock Exchange has been suspended pending further development.
