The Board of Directors (the Board) of Miyoshi Limited (the Company, together with its subsidiaries, the Group) wishes to announce that its indirect subsidiary, Green Galaxy (Jiangxi) Limited, has established a wholly-owned subsidiary, known as Suqian Miyoshi Trading Co., Ltd (New Subsidiary) in Suqian, Jiangsu Province, China.

The registered capital of the New Subsidiary is RMB500,000, and its principal activities include the sale of light electric vehicles and accessories.

The establishment of the New Subsidiary will be funded by the internal resources of the Group and is not expected to have any material impact on the earnings per share or net tangible asset of the Group for the year ending 31 August 2015.

None of the Directors or controlling shareholders of the Company (other than in their capacity as Director or shareholders of the Company) has any interest, direct or indirect, in the New Subsidiary.
