This is in reference to our earlier intimation dated June 09, 2022, informing you about the decision of the Board of Directors of IIFL Finance Limited ( Company ) as well as that of IIFL Home Finance Limited ( Subsidiary Company ), a material subsidiary of the Company, approving the transaction involving investment by a wholly owned subsidiary of Abu Dhabi Investment Authority ( Investor ) in the Subsidiary Company.

In this regard, we would like to inform you that the Board of Directors of the Subsidiary Company at their meeting held on August 22, 2022 has inter alia considered and approved the allotment of 5,376,457 fully paid-up equity shares of the Subsidiary Company to the Investor for an aggregate consideration of INR 22,000,000,000.

Pursuant to the above transaction, the Investor shall hold 20% of the share capital (calculated on a fully diluted basis) of the Subsidiary Company, resulting in a dilution of the present shareholding of the Company.
