On June 2, 2015, the Company s annual general meeting of shareholders approved distribution of NT$4,812,122,558 from retained earnings ( Cash Distribution ). The Cash Distribution is payable to shareholders of record on July 12, 2015. The Market Value per Common Share on July 12, 2015 will not be available until July 10, 2015. We will make public announcement of adjustment to the Conversion Price due to the Cash Distribution on July 10, 2015.

Pursuant to Article 13 of the Indenture ( Indenture ) dated October 13, 2010 between the Company and Citicorp International Limited, as Trustee, relating to issuance of the Bonds, the Bonds may not be converted during the period from June 16, 2015 to July 12, 2015 ( Closed Period ).

We hereby notify you of the Closed Period and will notify you the adjustments to Conversion Price on July 10, 2015.
