EMPHASIS OF MATTER BY AUDITORS ON FINANCIAL STATEMENTS FOR THE FINANCIAL YEAR ENDED 31 DECEMBER 2014

The Board of Directors of Sunmart Holdings Limited (the "Company") wishes to announce that its External Auditors, Nexia TS Public Accounting Corporation, has issued their report on the Company's financial statements for the financial year ended 31 December 2014 containing an emphasis of matter relating to the going concern assumption. Details of which are set out in the Independent Auditors' Report dated 9 April 2015 as attached.

The Company's Annual Report for FY2014 containing the Independent Auditors' Report and the Company's consolidated financial statements for FY2014 will be despatched to shareholders on 14 April 2015.
