Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015
as amended from time to time, we wish to inform you that pursuant to the authority granted by the Members
by way of Special Resolutions passed at the 79th Annual General Meeting of Tata Motors Limited ( the
Company ) held on June 24, 2024, the Nomination and Remuneration Committee ( NRC ) of the Company at
its Meeting held today, i.e., August 1, 2024 has approved the grant of 3,59,899 Performance Share Units in
aggregate, to the Eligible Employees of the Company and its subsidiaries, under the TML SLTI Scheme 2024.
In terms of the SEBI Circular no. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023, necessary
disclosure is enclosed herewith and marked as Annexure A.
