Demerger of Commercial Vehicles business of Tata Motors Limited and transfer of its Group Companies to TML Commercial Vehicles Limited

We had vide our earlier filings, intimated about the effectiveness of the Composite Scheme of Arrangement amongst Tata Motors Limited (the Company or TML or Demerged Company or Amalgamated Company), TML Commercial Vehicles Limited (TMLCV or Resulting Company), and Tata Motors Passenger Vehicles Limited (TMPV or Amalgamating Company) and their respective shareholders, under Sections 230-232 and other applicable provisions of the Companies Act, 2013 and the Rules framed thereunder ( Scheme ), sanctioned by the Hon'ble National Company Law Tribunal, Mumbai Bench (NCLT), vide its Order dated August 25, 2025 and Rectification Order dated September 10, 2025.

Consequent upon demerger of the Commercial Vehicles business of the Company and the concurrent transfer of its Group Companies to TMLCV, we hereby wish to inform the Exchanges that the entire shareholding held by the Company in the entities, as mentioned in the enclosure appended herewith, will stand transferred to TMLCV, w.e.f., the effective date of the Scheme.
