Pursuant to Rule 706A of the Listing Manual of the Singapore Exchange Securities Trading Limited, Golden Agri-Resources Ltd ("GAR" and together with its subsidiaries, the "Group") wishes to announce the following in respect of the second half and full year ended 31 December 2025:-

1. New subsidiaries

(i) PT Mandala Agropalma Sejahtera ("MAPS")

Incorporation of MAPS, an indirect wholly owned subsidiary of the Group established in Indonesia with an initial subscribed and paid-up share capital of Indonesia rupiah two billion (IDR2,000,000,000).

The principal activity of MAPS is that of investment holding.

(ii) PT Mandala Agro Nusantara ("MANT")

Incorporation of MANT, an indirect wholly owned subsidiary of the Group established in Indonesia with an initial subscribed and paid-up share capital of Indonesia rupiah one billion (IDR1,000,000,000).

The principal activities of MANT are that of trading and plantation management services.

(iii) PT Mandala Palma Utama ("MPU")

Incorporation of MPU, an indirect wholly owned subsidiary of the Group established in Indonesia with an initial subscribed and paid-up share capital of Indonesia rupiah one billion (IDR1,000,000,000).

The principal activities of MPU are that of trading and plantation management services.

2. Cessation of subsidiary/ joint venture

(i) Golden Agri-Resources Nigeria Limited ("GAR Nigeria")

Following the completion of the members' voluntary winding up, GAR Nigeria was dissolved and ceased to be a subsidiary of the Group.

(ii) Golden Stena Bulk Limited ("Golden Stena")

Following the completion of the members' voluntary winding up, Golden Stena was dissolved and ceased to be a joint venture of the Group.

(iii) GSW F-Class Pte. Ltd. ("GSW F-Class")

GSW F-Class, a joint venture of the Group incorporated in Singapore, has been struck off from the Register of the Companies.
