Sub: Outcome of the Board Meeting held on 19th May, 2018

Dear Sirs,

In the Board Meeting held today i.e. 19th May, 2018, the Board has:-

1. Approved Audited Standalone and Consolidated Financial Results of the Company for the Quarter and Year ended 31st March, 2018 in terms of Regulation 33 (3)(d) of Securities & Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015. A copy of the same is enclosed alongwith Report of Statutory Auditors M/s. Rajendra K. Goel & Co., Chartered Accountants, New Delhi.

Further, we would like to state that Statutory Auditors of the Company have issued Audit Reports with modified opinion on both Standalone and Consolidated Financial Results. Accordingly, in terms of Regulation 33/52 of SEBI (LODR) Regulations, 2015, a Statement on Impact of Audit Qualifications is also enclosed.

2. Co-opted Shri Jaiprakash Gaur on the Board of the Company w.e.f. 19th May, 2018.

The meeting commenced at 3.00 P.M. and concluded at 9.30 P.M.
