Composite Scheme of Arrangement - Intimation of Record Date

We had intimated about the effectiveness of the Composite Scheme of Arrangement amongst Tata Motors Limited (the Company or TML or Demerged Company or Amalgamated Company), TML Commercial Vehicles Limited (TMLCV or Resulting Company) and Tata Motors Passenger Vehicles Limited (TMPV or Amalgamating Company) and their respective shareholders, under Sections 230-232 and other applicable provisions of the Companies Act, 2013 and the Rules framed thereunder ( Scheme ), sanctioned by the Hon'ble National Company Law Tribunal, Mumbai Bench (NCLT), vide its Order dated August 25, 2025 and Rectification Order dated September 10, 2025.

In furtherance to the above, we wish to inform you that the Company has fixed Tuesday, October 14, 2025 as the Record Date for the purpose of ascertaining the shareholders of the Company who shall be issued and allotted 1 (One) share of TMLCV (face value of INR 2/- each fully paid up), for every 1 (One) share of the Company (face value of INR 2/- each fully paid up) of the same class of shares outstanding and as held by such shareholder in the Company on the Record Date.

The said equity shares to be allotted by TMLCV are proposed to be listed with BSE Limited and the National Stock Exchange of India Limited, subject to necessary regulatory approvals.

In addition, we wish to apprise you that the Company has fixed Friday, October 10, 2025 as the Record Date for the purpose of determining the eligible Debenture Holders of the identified Non Convertible Debentures (NCD) to be transferred from the Company to TMLCV as per the Scheme.

The details pertaining to the Record Date fixed by the Company for NCDs pursuant to the Scheme are enclosed herewith.
