The Board of Directors, having considered the recommendation of the Nominating Committee and having reviewed and considered the qualifications, work experience and suitability of Wong Wei Teck ("Mr Wong WT"), is of the view that Mr Wong WT possesses the requisite experience to carry out the duty as the Chief Executive Officer ("CEO") of the Company. Mr Wong WT has more than 30 years of experience in the food and beverage (F&B) industry in Singapore, and has been an Executive Director of the Company for 16 years and as Managing Director of the Company for 7 years. The Board of Directors is of the view that Mr Wong WT is suitable as a veteran and stabilising hand to steer the Group through the current headwinds of the F&B industry at this current juncture.

Accordingly, the Board of Directors approved the redesignation of Mr Wong WT to CEO of the Company.

Mr Wong WT was appointed as Executive Director of the Company on 06 June 2024. He also was appointed as the Managing Director of the Group on 1 May 2016, and was re-designated as Joint Managing Director on 1 December 2023 until 06 June 2024. He is a co-founder and has been with the Company since 1991.

He is responsible for the overall management, strategic planning and business development of the Group. He is also responsible for the manufacturing arm of the company, supply chain and procurement, and exporting sauces into overseas market including Japan. Mr Wong WT was instrumental to the Group's growth and development over the years and its listing on the Singapore Exchange. Before his appointment as Managing Director, Mr Wong WT was an Executive Director of the Group since 2000. He was responsible for the corporate development of the Group including human resources, information technology and management system, as well as the Group's corporate social responsibility initiative.

In September 1999, Soup Restaurant (Seah Street) Pte Ltd (currently named as Pot Luck F&B Singapore Pte. Ltd.), Soup Restaurant (Causeway Point) Pte Ltd (currently named as Soup Restaurant Singapore Pte. Ltd.) and its two former management personnel were charged for employing seven Malaysian workers without valid work permits. A former management personnel was also charged for employing a Malaysian cook at Soup Restaurant (Causeway Point) Pte Ltd in breach of a condition of his work permit (for not working at the specified outlet under the said work permit). The companies paid a total fine of $30,640 and the two former management personnel paid a total fine of $14,480. The management personnel involved and charged for the offences are no longer with the Group. Mr Wong Wei Teck was a director of Soup Restaurant (Seah Street) Pte Ltd and Soup Restaurant (Causeway Point) Pte Ltd at the material time but matters relating to the deployment of staff were not under his direct supervision and he was not investigated or charged for any of the offences.
