Reference is made to the general announcements filed by Doosan Enerbility Co., Ltd. (the Issuer ) via the website of the Singapore Exchange Securities Trading Limited ( SGX-ST ) (i) dated July 16, 2024 (the Original Announcement ) regarding the contemplated spin-off and merger of its investment business with and into Doosan Robotics, Inc. ( Doosan Robotics, and such transaction, the Merger ), (ii) dated August 30, 2024 (the Second Announcement ) regarding the withdrawal of Doosan Robotics previously contemplated Comprehensive Share Swap (as defined in the Second Announcement) and (iii) dated September 11, 2024 regarding the postponement of the overall indicative timetable for the Merger.

On October 21, 2024, each of the Issuer and Doosan Robotics publicly disclosed in Korea an updated overall indicative timetable for the Merger, including the dates of the events described in the Original Announcement. Each of the Issuer and Doosan Robotics plans to hold an extraordinary general meeting of shareholders to approve the Merger on December 12, 2024. The effective date of the Merger is currently expected to be as of January 31, 2025. The overall timetable for the Merger, including the dates of the events described above, may be subject to change, subject to, among other things, further discussions with the relevant authorities.
