THIS NOTICE IS IMPORTANT AND REQUIRES THE IMMEDIATE ATTENTION OF NOTEHOLDERS

The attached notice contains important information regarding the conversion price for the A$300,000,000 5.75 per cent Convertible Notes due 2016.

In the event of a Change of Control as detailed in the attached notice, the Conversion Price at which Noteholders may elect to have their Notes converted into Novion Securities will be adjusted for a 20 business day period pursuant to Condition 6(C)(10) of the Notes.
