Leighton Holdings Limited, parent company of Leighton Finance (USA) Pty Ltd, notes media speculation regarding a settlement of the shareholder class action brought against it in relation to the 11 April 2011 disclosure of a revision of its profit forecast for the 2011 Financial Year.

At this stage, the parties are in advanced negotiation. A settlement has not yet been signed. Any settlement would be conditional on a number of matters, including Court approval.

Based on current negotiations, it is Leighton's expectation that the settlement will not have a material impact on the Company.

Leighton will update the market if and when an agreement is reached.
