Interested Person Details: Subject to the approval of the Company s shareholders being obtained at the 2024 EGM, upon completion of the Proposed Capital Injection (i.e., the completion of the industrial and commercial registration in respect of the Proposed Capital Injection), the shareholders of Taiping Medicine (i.e., the Company and TPH) shall provide proportionate guarantees for TJZX Medicine, corresponding to their respective shareholdings in Taiping Medicine. That is, based on the amount of the Subsisting Guarantee of up to RMB1,900 million, the Company shall provide a proportionate joint and several liability guarantee for an amount of up to RMB823,650,000 for TJZX Medicine, corresponding to its 43.35% shareholding in Taiping Medicine, and TPH shall provide a proportionate joint and several liability guarantee for an amount of up to RMB1,076,350,000 for TJZX Medicine, corresponding to its 56.65% shareholding in Taiping Medicine. The term of guarantee shall last from the completion of the industrial and commercial registration in respect of the Proposed Capital Injection to the Expiration Date.
