Having evaluated the balance and mix of skills, knowledge, experience and other aspects of diversity, the Nominating Committee ("NC") of Golden Energy and Resources Limited ("GEAR") had interviewed Ms Noormaya Muchlis to assess her suitability for appointment as an Independent Director of GEAR and to ensure that she was aware of the expectations and level of commitment required of a GEAR Board member.

The NC was of the view that Ms Noormaya Muchlis would be a suitable addition to the Board as the Board would benefit from her expertise and experience, including her training and knowledge in sustainability development in the mining industry.

The Board, having considered the recommendation from the NC, approved the appointment of Ms Noormaya Muchlis as an Independent Director of the Board.
