The Board of Directors (the "Board") having considered the recommendation of the Nominating Committee and the professional qualification, work experience and independence of Mr. Fu Shaohai ("Mr. Fu"), is of the view that Mr. Fu has the requisite experience, expertise, knowledge and capabilities to assume the duties and responsibilities of the Independent Director of the Company.

Mr. Fu will also be appointed as the Chairman of the Remuneration Committee, as well as a member of the Audit Committee and the Nominating Committee. The Board considers Mr. Fu to be independent for the purpose of Rule 704(7) of the Listing Manual - Section B: Rules of Catalist of the Singapore Exchange Securities Trading Limited.
