The Issuer wishes to announce today an invitation to the holders of the Notes to offer to tender any and all such Notes for purchase by the Issuer for cash in accordance with the procedures described herein, and upon the terms and subject to the conditions set forth in the tender offer memorandum (the Tender Offer Memorandum) and subject to the offer restrictions referred to in the Offer and Distribution Restrictions in the Tender Offer Memorandum.
