NOTICE IS HEREBY GIVEN that Green River Holding Co. Ltd.(the Company) declared a cash dividend NT$ 314,035,260, or NT$ 4.20 per common share, payable to shareholder of record on July 17, 2018.

As a result of the cash dividend distribution, the Company informs the Bondholders of that (i) the Conversion Price prior to the adjustment was NT$ 212 per share, (ii) the adjustment pursuant to Condition 5(C)(i) and 5(C)(vii) of the Indenture, shall be NT$ 205.4 per share, which shall be effective on July 17, 2018.
