Reference is made to (i) the Consent Solicitation and Information Memorandum dated 26 March 2020, the Supplemental Consent Solicitation and Information Memorandum dated 31 March 2020 and the Second Supplemental Consent Solicitation and Information Memorandum dated 2 April 2020 (together, the CSIM ); and (ii) the announcements made by the Company dated 13 March 2020, 27 March 2020, 30 March 2020 and 6 April 2020 (together the Announcements ) in relation to the Consent Solicitation and the restructuring of the Existing Bonds.

As provided in the CSIM and in continuation to the Announcements, the implementation of the restructuring of the Existing Bonds is subject to the satisfaction of certain Conditions Precedent as set out in the CSIM. In this regard, it is informed that the Company has on 30 June 2020 satisfied the Conditions Precedent set out in the CSIM, including the receipt by the Company of approval of the Reserve Bank of India.
