Please see attached the announcement on the entry by the Company into subscription agreements in relation to the issuance of convertible loan notes in the aggregate principal amount of SGD470,000 convertible into 427,272,727 shares at the price of SGD0.0011 per share plus up to an additional 5,696,970 shares in respect of the conversion of interest that would accrued for the period covering the full term of convertible loan notes (i.e., accrued until the maturity date).
Notes on corrections made:-
Please refer to the attached replacement announcement. The following corrections were made to the figures originally stated: (i) Capital Amount-Old has been corrected to read "SGD591,721,000"; (ii) Capital Amount-New has been corrected to read "SGD592,197,266.67"; (iii) at page 15 of the replacement announcement, the net debt and shareholders' funds have been corrected to read "SGD710,000" and "(SGD709,000)" respectively (after the completion of the issue of the convertible loan notes).
Further amendments have been made to address computational errors in respect of the percentage shareholding of the subscribers as well as certain financial effects numbers under Paragraph 5. Please see attached a version of the (replacement) announcement that highlights the amendments made as well as a clean version of the (replacement) announcement.
