After having interviewed Mr. Xiao and to the best of its knowledge, the Company's Sponsor, ZICO Capital Pte. Ltd., is satisfied that, save as disclosed in this announcement, there are no other material reasons for the cessation of Mr. Xiao as the Accounting Director of the Company and a Director as well as the Financial Controller of Xingnong Agriculture.

In addition, there are no concerns with regards to financial reporting that led to the cessation of Mr. Xiao and there are no disagreements between Mr. Xiao and the board of directors of the Company with regards to practices that would have an impact on the Company's and Group's financial reporting.
