The Company's US$300,000,000 6.625% guaranteed senior notes (the Notes ) was due on 27 March 2020. As of the date hereof, the Company has not paid the amounts due in respect of the Notes.

Over the last few months, the Company and various of its creditors, stakeholders and respective advisors, have been in constructive dialogue and have worked expeditiously to agree on a restructuring of its indebtedness. Substantial progress has been made with a number of major holders of the Notes on the terms of a financial restructuring of the Company. These have culminated an in-principle agreement on the terms of the restructuring of the Notes (the Proposed Restructuring ).

The Company is therefore pleased to announce the terms of the Proposed Restructuring, together with the Restructuring Support Agreement which the Company intends to enter into with the holders of the Notes to support the implementation of the Proposed Restructuring. The Company is also dispatching the Practice Statement Letter in relation to the BVI Scheme.
