Description (Please provide a detailed description of the event in the box below): Receipt of NCLT order sanctioning the Scheme of Arrangement between the Company and Tata Advanced Systems Limited ( Transferee Company ) for transfer of the Defense Undertaking ( the Scheme ).

This is with further reference to our letters dated May 3, 2018, June 27, 2019, June 28, 2019, July 30, 2019 and December 17, 2019, regarding the captioned Scheme. We are pleased to inform you that, the Hon'ble National Company Law Tribunal, Hyderabad Bench ( NCLT ) vide its order dated December 20, 2019, has sanctioned the said Scheme.

We would like to bring to your notice that as per Clause 21 of the Scheme, this Scheme would be effective on receipt of necessary approvals from authorities, including the Ministry of Defense. The Company would be filing/intimating the said order with the Registrar of Companies, Mumbai ( ROC ) within 30 days of the said order as also when the Scheme become effective as mentioned above.
