Interested Person Details
CapitaLand Limited ("CapitaLand"), has an aggregate interest of approximately 31.96% of the total number of units in issue in CapitaLand Commercial Trust ("CCT"), and is therefore regarded as a "controlling unitholder" of CCT under both the listing manual of the SGX-ST (the "Listing Manual") and Appendix 6 of the Code on Collective Investment Schemes (the "Property Funds Appendix"). In addition, as CapitaLand Commercial Trust Management Ltd, the manager of CCT (the "Manager"), is a wholly owned subsidiary of CapitaLand, CapitaLand is therefore regarded as a "controlling shareholder" of the Manager under both the Listing Manual and the Property Funds Appendix.
Market Street Office Pte. Ltd. ( "CL SPV" ) is a wholly owned subsidiary of CapitaLand, for the purposes of Chapter 9 of the Listing Manual and the Property Funds Appendix, CL SPV (being a subsidiary of a "controlling unitholder" of CCT and a "controlling shareholder" of the Manager) is (for the purpose of the Listing Manual) an "interested person" and (for the purpose of the Property Funds Appendix) an "interested party" of CCT.
For avoidance of doubts, only the proposed acquisition of 50.0% of the units in MSO Trust by CCT from CL SPV will constitute an "interested person transaction" under Chapter 9 of the Listing Manual as well as an "interested party transaction" under the Property Funds Appendix. The acquisition of the 10.0% of the units in MSO Trust by CCT from Mitsubishi Estate Asia Pte. Ltd. is not an "interested person transaction" under Chapter 9 of the Listing Manual and is not an "interested party transaction" under the Property Funds Appendix.
